ASEDIE responds on Business Registers
The Spanish Asociación Multisectorial de la Información (ASEDIE) has the ASEDIE submission to the European Commission Green Paper consultation on the interconnection of Business Registers that closed on the 31st January 2010.
The is summarised on page 2 and states:
“In general lines, we consider that the interconnection of the different Registrations of Societies of the countries of the Union, is beneficial from the perspective of financial transparency, efficiency in the mergers / acquisitions processes and agility in the resolution of international legal processes.
For it, it is indispensable the cooperation among the different mercantile registrations of the European Union so that it is available a platform that allows the obtaining of a registration common to European level.
Anyway, we informed from our sectorial perspective, that this initiative could create a conflict of interests with our activity and therefore, it should be kept in mind the possibility of generating a negative impact that could have in our sector the fact that the information for the creation of an unique Registration could be facilitated to the final addressees, enters in competition with the products of mercantile information of the companies of our sector.
However and despite of the potential conflicts that could arise for the privileged position that the Public Administration has about the information contained in the Registrations, we consider that there are more advantages than inconveniences and this initiative contributes to facilitate the access to the mercantile and financial information of all the states members.”
The ASEDIE is summarized on page 2 and states:
“En líneas generales, consideramos que la interconexión de los diferentes Registros Mercantiles de los países de la Unión, es beneficiosa desde la perspectiva de transparencia financiera, eficiencia en los procesos de fusiones/adquisiciones y agilidad en la resolución de procesos legales internacionales
Para ello, es indispensable la cooperación entre los diferentes registros mercantiles de la union europea para que esté disponible una plataforma que permita la obtención de un registro común a nivel europeo.
Ahora bien, trasladamos que desde nuestra perspectiva sectorial, esta iniciativa podría crear un conflicto de intereses con nuestra actividad y por tanto se debe tener en cuenta el possible impacto negativo que pudiera tener en nuestro sector el hecho de que, la información que por la creación de un Registro único, pueda ser facilitada a los destinatarios finales, entre en competencia con los productos de información mercantil de las empresas de nuestro sector. Sin embargo, y pese a los potenciales conflictos que pudieran surgir por la privilegiada posición que la Administración Pública tiene sobre la información contenida en los Registros, consideramos que las ventajas son mayores que los inconvenientes y esta iniciativa contribuye a facilitar el acceso a la información mercantil y financiera de todos los estados miembros.”

The ASEDIE response ends with a reminder that the actions taken with respect to Business Registers should be consistent with the spirit of the European Commission Directive on the re-use of Public Sector Information 2003/98/EC.
